These Terms & Conditions ("Terms") govern your access to and use of the website at territoryiq.ai, the TerritoryIQ platform, and related services (collectively, the "Services") provided by TerritoryIQ Enterprises LLC ("TerritoryIQ," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
TerritoryIQ provides a white-labeled CRM platform for door-to-door and field sales professionals, including lead pipeline management, automated follow-up, proposal tools, dashboards, and communication features such as SMS/text messaging. We may modify, suspend, or discontinue any part of the Services at any time.
You agree not to use the Services to: violate any law or regulation; send unlawful, harassing, deceptive, or unsolicited messages; infringe intellectual property or privacy rights; transmit malware; or attempt to gain unauthorized access to the Services. You are solely responsible for the content you transmit and for obtaining all required consents from the individuals you contact through the Services.
If you use the Services to send SMS/text messages to your own leads or customers, you are responsible for complying with all applicable laws and industry standards, including the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and carrier requirements. You must obtain proper opt-in consent, honor opt-out requests, and provide the required program disclosures to your recipients.
This section applies to text messages sent by TerritoryIQ to individuals who opt in, including our own subscribers and prospects, and, where applicable, end users who opt in to receive messages through our platform.

When you opt in to the TerritoryIQ SMS program, you may receive text messages related to your account and inquiry, including onboarding and welcome messages, appointment confirmations and reminders, lead and sales follow-ups, billing and account notifications, customer support responses, and, where you have consented, occasional promotional or informational messages.
You can cancel the SMS service at any time. Simply text STOP to the number from which you receive our messages. After you send "STOP," we will send you a confirmation message to acknowledge that you have been unsubscribed. Following this confirmation, you will no longer receive SMS messages from us.
To rejoin, sign up again as you did initially, and we will resume sending SMS messages to you.

Carriers are not liable for delayed or undelivered messages.
As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. If you have any questions about your text or data plan, please contact your wireless provider.

Our SMS program is designed to align with carrier compliance requirements, CTIA industry standards, and applicable law. We maintain a publicly accessible mobile terms of service and honor all opt-out requests.
We reserve the right to modify or terminate the SMS program, or your participation in it, at any time and for any reason, consistent with applicable law.
The Services, including all software, content, trademarks, and branding (including "TerritoryIQ"), are owned by TerritoryIQ Enterprises LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain ownership of the data you input into the Services.
The Services are built on and integrate with third-party platforms and providers. Your use of those integrations may be subject to their terms. We are not responsible for third-party services we do not control.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, TerritoryIQ Enterprises LLC and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid us for the Services in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless TerritoryIQ Enterprises LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law, including messaging and consent laws.
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any conduct we reasonably believe is harmful to the Services or other users. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Connecticut.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
